These Terms of Service ("Terms") govern your access to and use of the Talden platform (the "Service"), operated by Talden Inc. ("Talden," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of a law firm, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.
The Service
Talden is an AI-powered legal research and drafting tool designed for licensed legal professionals. The Service uses artificial intelligence, including large language models, to assist with legal research, document drafting, citation identification, and related tasks.
Talden is a professional tool - not a law firm, not a lawyer, and not a substitute for professional legal judgment. The Service does not provide legal advice. All AI-generated content, including research results, drafted documents, and citations, must be independently reviewed and verified by a qualified legal professional before use in any legal matter.
Eligibility
The Service is intended for use by licensed attorneys, paralegals, law students, and other legal professionals. By using Talden, you represent that you are at least 18 years of age, you are using the Service in connection with legitimate legal research or practice, and you will not rely on AI-generated outputs without independent professional review.
Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
Subscription and Payment

Free Trial. We may offer a 7-day free trial. A valid credit card is required to start a trial. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your card will be charged.
Billing Cycle. Subscriptions are billed monthly on the anniversary of your start date. All fees are charged in advance for the upcoming billing period.
No Refunds. Payments are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.
Price Changes. We may change our pricing with at least 30 days'advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to engage in any activity that violates applicable laws or regulations, submit content that is fraudulent, misleading, defamatory, or that infringes on the rights of others, attempt to reverse-engineer, decompile, or extract the source code or underlying models of the Service, interfere with or disrupt the integrity or performance of the Service, access or attempt to access another user's account without authorization, use automated means (bots, scrapers, or similar tools) to access the Service except through our published APIs, resell, sublicense, or redistribute the Service or its outputs without our written consent, or use the Service in a manner that could harm, disable, or impair the Service or its infrastructure.
Your Content
"Your Content" means any text, documents, files, queries, or other materials you submit to the Service.
Ownership. You retain all rights to Your Content. By submitting Your Content, you grant Talden a limited, non-exclusive license to process, store, and transmit Your Content solely as necessary to provide and improve the Service.
Responsibility. You are solely responsible for Your Content, including ensuring that you have the right to submit it and that it does not violate any applicable laws, regulations, or third-party rights. If Your Content includes confidential or privileged materials, you are responsible for evaluating whether use of the Service is appropriate under your professional and ethical obligations.
AI-Generated Outputs
"Outputs" means any text, research results, document drafts, citations, or other content generated by the Service in response to your queries.
No Guarantee of Accuracy. Outputs are generated by AI models and may contain errors, omissions, outdated information, or inaccuracies, including incorrect or fabricated legal citations. While we implement verification processes designed to minimize citation hallucination, we do not guarantee the accuracy, completeness, or fitness of any Output for a particular purpose.
Your Responsibility. You are solely responsible for reviewing, verifying, and validating all Outputs before using them in any legal matter, filing, or client communication. Reliance on unverified Outputs is at your own risk.
License to Outputs. Subject to these Terms, you may use Outputs generated in response to your queries for your own lawful professional purposes.
Intellectual Property
The Service, including its software, design, features, documentation, and branding, is owned by Talden and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
"Talden" and the Talden name and logo are trademarks of Talden Inc. You may not use our trademarks without our prior written consent.
Confidentiality
We understand that your use of Talden may involve sensitive, privileged, or confidential information. We will treat Your Content and associated metadata as confidential and will not disclose it to third parties except as described in our Privacy Policy, as necessary to provide the Service (e.g., processing through AI infrastructure providers), as required by law, regulation, or legal process, or with your consent.
We implement administrative, technical, and physical safeguards designed to protect the confidentiality and security of Your Content.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR FREE OF HALLUCINATED CITATIONS, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
YOU ACKNOWLEDGE THAT THE USE OF AI-GENERATED CONTENT IN LEGAL PRACTICE CARRIES INHERENT RISKS AND THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL OUTPUTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALDEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO TALDEN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF TALDEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to indemnify, defend, and hold harmless Talden and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your reliance on AI-generated Outputs without independent verification, your Content, or your violation of any applicable law or third-party rights.
Termination
By You. You may cancel your subscription at any time through your account settings or by contacting us at support@taldenai.com. Cancellation takes effect at the end of your current billing period.
By Us. We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. If we terminate your account without cause, we will provide a pro-rata refund of any prepaid fees for the unused portion of your billing period.
Effect of Termination. Upon termination, your right to use the Service ceases. We will retain Your Content for 90 days following termination to allow for data export, after which it will be scheduled for deletion. Sections that by their nature should survive termination will survive, including Sections 06, 07, 10, 11, 12, and 15.
Modifications to the Service and Terms
We may modify, update, or discontinue the Service or any of its features at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.
We may update these Terms from time to time. When we make material changes, we will notify you by posting the revised Terms on this page with an updated effective date and, where appropriate, by email. Your continued use of the Service after revised Terms take effect constitutes your acceptance of those Terms.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the state in which Talden Inc. is incorporated, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be resolved by binding arbitration in accordance with applicable rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.
General Provisions
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Talden regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Notices. We may provide notices to you via email to the address associated with your account or through the Service. Notices to Talden should be sent to support@taldenai.com.
