The assignment
Larkspur Studio Co., a fictional customer, is considering Copper Finch Systems’ hosted workflow service. The assignment is to review the demonstration services agreement and its data terms against the client’s business brief, produce a short prioritized issue note, propose language for the most material issue, and list the questions counsel should resolve before recommending signature.
What the lawyer checks in the result
- Whether the three-month cap fits the client’s stated 12-month preference, and how the data terms interact with it.
- Whether the provider’s right to use content to improve its services and models fits the no-training instruction.
- Which document controls when the agreement and the data terms conflict.
- What the packet does not supply: the subprocessor list, a deletion timetable, and whether project notes may hold sensitive information.

Each party’s aggregate liability arising out of or relating to this agreement is limited to the fees paid during the three months before the event giving rise to the claim. Neither party is liable for indirect or consequential loss. These limitations apply to all claims, including claims relating to confidentiality, security and personal information.
Provider remains responsible for its obligations under these Data Terms. This provision does not expressly amend the services agreement’s limitation of liability.
The business prefers a 12-month-fees general cap and a separately negotiated higher cap for specified confidentiality and data obligations, not unlimited liability for every breach.

The assignment
Alder Tax Services LLC, a fictional tax-preparation business with about 4,200 current customers and an unreconciled archive of former-customer files, asks whether having fewer than 5,000 customers means the FTC Safeguards Rule does not apply. The assignment is a preliminary U.S. federal scoping memorandum as of 25 September 2026 that separates supplied facts, assumptions, authority, analysis and missing information.
What the lawyer checks in the result
- Whether the memorandum reads the exception in context: which specified requirements it lifts, and which obligations remain.
- Whether the conclusion is conditional on the unresolved archive count rather than treating it as settled.
- Whether each cited provision is the current text, dated to the assignment, with subsequent developments checked.
- What further facts the business must supply before the analysis can be relied on.

The business asks whether having fewer than 5,000 current customers means that the FTC Safeguards Rule does not apply. It wants to understand the significance of retained archives and which obligations would remain even if the rule’s small-institution exception were available.
