Individual Beta Order and Billing/Credits Schedule

The Customer is the individual identified in the accepted checkout record. The plan is Talden Gen 2 Individual Beta: one User, one private workspace, the launch functions described in Platform Agreement section 3, and no enterprise or external-write service level. The subscription price is US$200 per monthly subscription period, plus applicable taxes disclosed at checkout. There is no annual minimum commitment. Each trial and paid monthly period includes 10,000 Included Credits. The completed order record must state Customer's account identifier, verified email, billing location, trial start and end, first charge time, monthly renewal anchor, applicable tax and total, payment method reference, accepted document versions and acceptance timestamp. Those populated values, not unpopulated examples, constitute the Order.

The Service does not include unlimited usage, storage, research completeness or human legal review. Technical limits shown before order acceptance are part of the Order only if identified in its retainable record. A later undisclosed limit cannot be used to impose a charge. No upgrade, discount, promotion or annual plan is included unless separately accepted in an Order expressly stating its economics.

Customer may receive one 14-day trial per individual, subject to reasonable duplicate-account controls. A valid payment card and separate affirmative subscription-renewal consent are required. The trial begins only after the applicable eligibility and supervisor-confirmation requirements are satisfied and Customer accepts the displayed trial Order; it ends 336 hours after activation at the exact time shown in that Order. Pending eligibility review is not part of the trial or authority to charge a subscription. Times are recorded in Coordinated Universal Time (UTC), with a clearly identified local display where provided. A payment-card verification may create a temporary authorization hold disclosed by the payment processor; it is not a subscription charge.

Unless Customer cancels before the displayed trial-end time, Talden will charge US$200 plus the disclosed applicable taxes at that time and begin the first monthly period. The trial's unused Included Credits expire at the trial end and do not roll into the paid period. The new 10,000-credit monthly allowance becomes available when payment succeeds. Optional credit purchases during the trial are separately charged and are not included in the free trial. Talden will send the trial confirmation and the pre-conversion reminder in Document 11. Customer may cancel before conversion without a subscription fee. Failure of a required notice will be handled under law and the billing controls, not treated as permission to charge regardless.

Each monthly period begins at the scheduled first-charge time stated in the Order or its monthly anniversary and ends immediately before the next such time. A late successful payment does not reset this anchor; section 7 governs the resulting access pause and adjustment. If a month lacks the original anniversary day, that month's renewal occurs on its last day at the same UTC time; the original anniversary day remains the anchor for later months. The Service renews monthly until canceled. Talden may not charge before the disclosed renewal time. The receipt states the paid-through time and next renewal time. A calendar-month subscription is not an annual commitment billed in monthly installments.

Included Credits are a nontransferable usage allowance bundled with the current subscription or trial, not a separate deposit or a promise to return part of the subscription fee. They expire at the end of that period and do not roll over. Purchased Credits are separately prepaid Service usage. At the current purchase rate, US$1 buys 100 Purchased Credits. A credit is a unit of Service consumption; it is not currency, a deposit, an investment, a transferable payment instrument or a right to use another business's services. Mandatory cash-redemption, refund and unclaimed-property rights are preserved.

Usage is debited at 200 credits for each US$1 of measured provider cost incurred to carry out Customer's authorized work. Thus US$1 of measured provider cost consumes 200 credits, equal to US$2 at the current credit-purchase rate. Measured provider cost means the usage cost attributable to the request, using the provider's applicable price and measured usage, including attributable model, speech, OCR, search and gateway charges. It excludes Talden overhead, sales tax, unrelated workloads and unallocable account-level charges. An attributable supplier refund or billing correction is reflected in Customer's usage correction. A change in the two-times multiplier requires the notice and acceptance process in section 10.

Multiple model passes, internal review, selected context, background runs, speech and source verification can each consume usage. The Service will show available usage information and any applicable task limit; an estimate is not a guarantee of final consumption. No cost that cannot be measured and attributed is charged to Customer; an unknown-cost event is flagged for investigation and may cause the affected function to pause. Talden may correct a demonstrated error on notice but may not retroactively impose an unannounced rate or charge for its own duplicate request caused solely by an implementation failure. Metering disputes may be submitted within 60 days after the relevant statement, without shortening a mandatory dispute period or waiving a claim that could not reasonably have been discovered then.

Included Credits are consumed before Purchased Credits; Purchased Credits are consumed oldest first. Fractions are calculated at the meter's precision and rounded only on the aggregated debit, to no more than one hundredth of a credit. The implementation must not increase effective charges through repeated minimum per-token rounding. The user-visible ledger distinguishes included, purchased, consumed, reversed and remaining amounts.

Customer may make a separately confirmed purchase from US$0.50 up to the lesser of US$1,800, the remaining user-set purchase limit and the applicable account capacity displayed before confirmation. The default additional-purchase limit is US$200 per trial or monthly period; Customer may reduce it to zero or increase it up to US$2,000 by an affirmative recorded instruction. This purchase ceiling is separate from the subscription price and is not a promise that every task will complete within the balance.

As a launch control, Talden will not permit more than US$2,000 of total credited value to be associated with an account during a UTC day, counting the opening usable balance and all additions that day, including the monetary equivalent of Included Credits for this conservative control. Spending does not reopen that day's loading limit. The Purchased Credit balance may not exceed 180,000 credits (US$1,800 at the purchase rate). Together with the maximum 10,000 current Included Credits, this keeps the ordinary usable balance at or below US$1,900 and reserves capacity for the next 10,000-credit allowance even if the preceding allowance expires that day. Before any discretionary addition, the daily calculation also reserves the value of an Included Credit grant due or scheduled for that UTC day, including one posted on payment cure. A debit or expiry does not reopen the daily limit. A refund or correction that cannot lawfully be restored as credits within these controls will be paid in money instead, preserving Customer's entitlement. The Service may not withhold the promised monthly allowance because it failed to reserve this capacity. No person-to-person transfer, gifting, resale, interest or multi-merchant use is permitted. Higher purchase settings present in unreleased software are not available under this Order.

Purchased Credits do not expire solely because of inactivity or cancellation. They remain subject to lawful redemption, fraud correction, an authorized refund and applicable unclaimed-property rules. Customer requires an active paid subscription or valid trial to consume them. Canceling renewal does not itself forfeit them. Talden may not confiscate a paid balance merely because Customer has not renewed.

Auto-refill is off by default. It operates only after Customer separately selects and accepts a fixed refill amount, payment method, trigger and period purchase ceiling in the Auto-Refill Authorization. When the available balance falls below 2,500 credits, the Service may purchase the exact authorized refill amount, subject to the purchase and account limits above. A threshold crossing is not authority to raise the refill amount, increase the ceiling, change the card or make repeated concurrent refills. The Service may make another refill only after the prior refill completes and new authorized metered usage leaves the balance below the trigger, within the recorded ceiling. Remaining below the threshold immediately after a refill does not alone authorize another purchase. No refill is made if it would exceed a limit; work may pause instead.

Customer may turn auto-refill off at any time through billing settings without terminating the subscription. A disable instruction prevents purchases not yet submitted; it cannot reverse a completed purchase, which remains subject to the refund rules. Cancellation of renewal also turns auto-refill off immediately. Customer may make a separately confirmed manual purchase during remaining active access. Every refill generates a receipt and reduces the remaining period purchase ceiling. Talden may pause, but not silently increase, an auto-refill authorization if payment, security or legal conditions change. A material change to amount, trigger or ceiling requires renewed affirmative consent.

When usable credits are exhausted, new work and new background runs pause. Saved work and supported exports remain available while the account remains open, including after a failed renewal or cancellation, subject to a lawful security restriction and the closure and inactivity rules in the Data Addendum; that read-only availability does not authorize new processing. Work already in flight may complete and take the ledger negative within the authorized task scope; Talden must not start new chargeable operations without sufficient credits or an applicable approved task budget. A negative ledger is a usage deficit, not independent authority to charge the payment card or invoice an unapproved overage. It is disclosed before the next purchase or renewal and is offset first against later credits if Customer elects to continue. If Customer cancels without continuing, Talden will not separately collect that deficit unless a distinct, express overage authorization covers it. No task, recurring responsibility or AI-generated instruction can alter billing consent.

A failed subscription charge immediately pauses new work; there is no promised processing grace period. Talden will send a failed-payment notice and may retry the same authorized amount for up to seven days, identifying the next retry in the notice and permitting cancellation before it. A successful late renewal resumes access with the original monthly anchor; Customer will receive a subscription-fee adjustment equal to the period fee multiplied by the seconds of that payment-related pause divided by the total seconds in the period, rounded to the nearest cent. If payment is not cured within seven days, the renewal is canceled and no further subscription charge is attempted without new acceptance. A returned payment, refund or final payment reversal removes only the corresponding unconsumed purchased balance or corrects the corresponding ledger entry; it is not grounds to erase unrelated client work. Talden preserves lawful collection rights for independently authorized amounts actually due.

Customer may cancel renewal through the direct Cancel subscription control in the account's billing portal. Cancellation must be available entirely online without a mandatory conversation, retention offer, survey or account deletion. Customer unable or unwilling to authenticate may use the Support email in the Contact Directory; Talden will use proportionate verification and record the cancellation when the request is received, not when an agent later processes it. A charge taken after a timely cancellation because of processing delay will be reversed.

Cancellation stops renewal and auto-refill but ordinarily leaves paid functionality available through the already-paid period. At its end, recurring work stops and Included Credits expire. Customer may stop recurring work earlier through the separate automation controls. Canceling a subscription does not disconnect third-party grants or permanently delete Customer Content. Account closure is separately requested through Support and follows the Data Addendum. Within 30 days after account closure becomes effective under Data Addendum Annex 3, Talden will return the unused Purchased Credit purchase amount, less only a reversal already made and an undisputed amount lawfully due, to the original payment method where practicable. Completion of content or backup deletion does not restart that refund period. This closure refund is not a cash-transfer or gift feature. Where law requires earlier or different cash redemption, that right controls; no active subscription is required to exercise a statutory redemption right.

Except as expressly provided in this schedule, the Agreement or mandatory law, paid subscription periods are nonrefundable and there is no proration for Customer's mid-period cancellation or nonuse. Ordinary Output dissatisfaction is not a warranty of a particular result. Talden may make a discretionary accommodation without creating a continuing refund policy. Purchased Credit refunds are limited to those expressly required here or by law; spent credits are not refundable solely because the work is later unused.

If Talden terminates for convenience, permanently discontinues the paid Service without equivalent supply, or Customer validly terminates for Talden's uncured material breach, Talden will refund the subscription price attributable to the remaining paid period and the unused Purchased Credit purchase amount. Subscription proration uses the remaining seconds in that paid period divided by the total seconds in that period, rounded to the nearest cent; it does not treat Included Credits as cash or promise double recovery. Refunds will be initiated within 30 days, subject to a shorter mandatory period. Supplier refunds attributable to an identified erroneous usage charge will be credited or returned without requiring renewal. Statutory rights and payment-card dispute rights are not waived.

Customer is responsible for applicable transaction taxes, excluding taxes on Talden's net income. Talden will collect taxes it is required to collect and disclose the amount or calculation before authorizing a charge; Customer will provide accurate billing location and valid exemption evidence where applicable. Talden may not treat a missing tax configuration as an exemption or add an undisclosed fee. Customer authorizes Stripe to process the specified payment and Talden to receive transaction identifiers and status. Talden does not receive the full payment-card number. A payment-processor agreement does not replace this Order or transfer Talden's merchant obligations to Customer.

Talden may propose a prospective change to the subscription fee, purchase exchange rate, usage multiplier or Included Credit allowance on at least 30 days' direct notice. An increased subscription fee applies no earlier than the first renewal at least 30 days after notice, and only after any further notice or consent required by law. A legally required fee-change reminder will also be delivered within its required window; one appropriately timed notice may serve both functions. Customer may cancel before the increase. Talden will not devalue an existing Purchased Credit balance by changing the purchase exchange rate; any proposed change to how already purchased units are consumed requires specific acceptance or a refund option. A change to auto-refill economics never expands an existing authorization without affirmative agreement. Price changes are not effective merely because a website or Stripe setting changes.
