ILLUSTRATIVE INPUT. FICTIONAL MATTER. NOT A LEGAL FORM.

Parties: Copper Finch Systems, provider, and Larkspur Studio Co., customer. Date: 25 September 2026. Order: hosted workflow service for 30 users; 12-month term; $48,000 paid annually. The following numbered provisions are the whole demonstration agreement.

1. Service and use. Provider will make the service available for Customer’s internal business use during the term. Customer is responsible for the information it submits and the access it gives to its users.

2. Customer information. Customer retains ownership of its submitted content. Provider may process that content to provide and support the service. Provider may also use content and associated usage information to improve its services and analytical models.

3. Confidentiality. Each party will use the other’s nonpublic business information only for the purposes of this agreement and will protect it using reasonable care. Disclosures required by law are permitted after notice where legally permitted.

4. Liability. Each party’s aggregate liability arising out of or relating to this agreement is limited to the fees paid during the three months before the event giving rise to the claim. Neither party is liable for indirect or consequential loss. These limitations apply to all claims, including claims relating to confidentiality, security and personal information.

5. Term and exit. The agreement ends after 12 months unless renewed by agreement. During the 15 days after expiration, Provider will make Customer content available for export in its standard format. Provider may then delete it. The agreement does not specify how backups are treated.

6. Data terms and priority. The attached Data Terms apply when Provider processes personal information for Customer. If a conflict arises, this services agreement controls unless the Data Terms expressly identify the provision they replace.
